  • Expression of Interest are invited for Legal and Regulatory Gap Assessment of Movable Asset Based Lending (ABL) with Focus on Supply Chain Finance (SCF) in Morocco. Publication Date: 26-Sep-2021 Expression of Interest Deadline: 06-Oct-2021 at 11:59:59 PM (Eastern Time - Washington D.C.). SCOPE OF WORK: IFC seeks to contract the services of an experienced consultancy firm (hereinafter Consultant) with extensive global expertise in the area of secured transactions, SCF and ABL and with prior working experience in the MENA region to conduct legal and regulatory assessments on a number of areas relating to these topics. In order to conduct this regulatory gap assessment, the Consultant will be expected to use both primary and secondary data in addition to conducting interviews and discussions with regulators and other stakeholders as required to collect data and have better insights on the existing legislation. It is the Consultant responsibility to seek inputs and contributions of a Moroccan legal consult when needed and to ensure access to legal and regulatory texts in Arabic and in French. It is worth highlighting that the IFC conducted in 2020 a comprehensive SCF market study, which provides a wealth of information on the SCF ecosystem, the state of SCF in Morocco, the level of awareness/readiness to implement SCF solutions and the market sizing/opportunity along with the potential target sectors. The study and other assessments performed provide an overview of the legal and regulatory frameworks governing asset-based lending and supply chain finance in Morocco. The IFC also has an ongoing technical advisory project on the recent secured transactions reform and movable collateral registry, which is in full swing with the Ministries of Finance and Justice and other public and private actors. A preliminary review of the 2019 secured transactions law, and some recommendations for its improvement, are available from this project. All this work will provide an important basis for the Consultants assignment and deliverables. The Consultant is expected to work closely with the IFC Project Leads and the project team and to provide technical expertise to the clients on legal and regulatory aspects of SCF & ABL framework in Morocco. In collaboration with the PLs, IFC FIG specialists and experts, local and international consultants and the team in charge of project implementation in Morocco, the Consultant is expected to conduct a legal and regulatory review of the SCF & ABL framework and advise the client regarding the further improvements into the existing frameworks via a SCF/ABL Report. The Report and its recommendations would contribute to the broader assessment of the viability for designing a national SCF strategy and enabling new SCF and ABL lending products development by local financial institutions in Morocco.
